FOR THE PREQUALIFICATION OF COMPANIES TO PARTICIPATE
IN AN INTERNATIONAL RESTRICTED BIDDING PROCESS FOR LEGAL
ASSISTANCE AND COUNSELLING MISSION IN AID OF THE GOVERNEMENT
OF CAMEROON WHO IS ABOUT TO IMPLEMENT THE MEMVE’ELE
HYDRO DAM PROJECT
(Republic of Cameroon)
Context:
The Government of Cameroon has decided to launch a 200 MW
hydropower Project on the Ntem River (South Cameroon) which
is likely to produce 1140GWh per year.
Thus, on August 8, 2007 a Framework Agreement of Development
(FAD) for the development of the project was concluded among
the Republic of Cameroon, Sud Energie Limited as the Developer
and Globeleq Advisors Limited as strategic partner.
The purpose of this FAD is to describe the main terms of
agreement among the contracting parties on the base of which
they intend to prepare, negotiate and finalize a contract
of concession and other contracts as regards the development
of a B.O.O.T (Build, Own, Operate and Transfer) model.
Object:
This International request for expression of interest aims
at pre qualifying companies both at national and international
levels interested in bidding for the requested duty which
is a legal support/backstopping and counseling to the Government
of Cameroon (GOC) in the development and/or negotiation
of contractual arrangements enabling the implementation
of the FAD. The selected company will assist the GOC in
the formulation and/or negociation of the following contracts:
- Contract of concession to be formulated and negotiated
- Contract of guarantee aiming at tracking the Unique buyer
obligations under the power sale contract
- A Power sale contract
- The service provider will assist the GoC in the formulation
of all other necessary agreements as well as the analysis
of all other legal and regulatory matters
- The service provider will make sure the GoC interests
in the FAD are secured
- The Service provider will liaise with a local legal advisor
selected by the GoC
- The Service provider will perform closely with a financial
advisor the GoC will recruit after a similar process of
qualification.
Participation:
To compete, applicants or group of consultants must have
a proven experience in the field of Legal counseling and
backstopping in OHADA region (Candidates familiar with Cameroon
Business and legal contexts will be appreciated). More specifically
applicants must:
- Have a confirmed ability in big projects contractual arrangements
in power sector (hydro power sub sector preferably) as well
as :
o public private partnerships financial plans
o Sub contracting procedures
o B.O.T or B.O.O.T constructing contracts
o Contracts of concession
o Contracts of supply
- Have proven experience of negotiations for sovereign governments
- An extensive experience in the field of formulation and
negotiation of legal and financial contracts
- An excellent practice of French
The file to submit:
This includes:
1 - A letter declaring the applicant’s expression
of interest for the project as well as its motivation on
issues and stakes related to the duty. It should clearly
indicate the company name and full contact of head office
address as well as the name and contacts of the authorized
representative.
2 - References of the consultant indicating similar duties
and possibly in similar social and environmental context
must be provided. To be valid all references must be testified
by the project client.
3 – Documents showing the bidder administrative settings
and his financial capacity.
4 – All other relevant document likely to justify
the bidder’s capacity to mobilize the necessary human
resources to start the duty promptly.
5 – Financial offer of the company detailing honorarium
mode of calculation.
6 – CVs of the proposed experts
Qualification criteria
Solid references of the consultant Legal counseling and
backstopping for hydro power projects in similar context
Availability of adequate and competent staff to commence
the work promptly
The key criteria to be taken into consideration are as follows
- Experts proposed by the company: 40
- Applicants references : 30
- Ability to understand and develop the stakes and the related
strategies 20
- Presentation 10
To be short listed companies most have at least 75 Marks.
Results will be published in the national media. Pre-qualified
companies will be consulted according to the national regulations
for bidden procedures.
Submission of files
Each file should be in French or in English in (05) five
copies including one original and four copies in a sealed
envelope. Files must be deposited or sent by express mail
not later than November 03 2008 at 12 h local time at the
